Online Store Terms and Logo Use Policy

Scope and Acceptance of Terms

This Website User Agreement (“Agreement”) governs your access to and use of the Helmsman Stitch Company website, online storefront, and related services (collectively,“Services”). By accessing or using our Services, placing an order, or submitting any design, logo, or artwork, you agree to be bound by this Agreement and all applicable laws and regulations in the United States and the State of Michigan.

If you do not agree to this Agreement, you may not use our Services.

User-Supplied Designs and Logos

When you submit any logo, word mark, artwork, phrase, or other design content (collectively, “User Content”) through our online storefront, you represent and warrant that:

  • You own all rights in the User Content, or you have obtained all necessary licenses, permissions, and consents from the rights holder(s) to use the User Content in connection with embroidery and decoration on apparel and other products.
  • Our receipt, use, reproduction, modification, and display of the User Content at your direction for fulfilling your online order do not and will not infringe, misappropriate, or violate any copyright, trademark, right of publicity or privacy, or other intellectual property or proprietary rights of any third party.
  • Your User Content does not contain unlawful, defamatory, harassing, obscene, hateful, or otherwise objectionable material, and does not promote illegal activity or discrimination.

You are solely responsible for all User Content submitted through your online account or on your behalf, and for ensuring that all third-party names, logos, mascots, school or team marks, brand marks, and other protected material are properly authorized for use.

Limited License to Helmsman Stitch Company

You grant Helmsman Stitch Company a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display your User Content solely as necessary to:

  • Provide embroidery and decoration services;
  • Manufacture, fulfill, and deliver your online orders; and
  • Maintain internal records (including order history, quality control, and customer service).

We do not claim ownership of your User Content, and this license is limited to providing the Services you request.

Prohibited Content and Order Refusal

Helmsman Stitch Company may, in its sole discretion, refuse, suspend, or cancel any online order that involves User Content that:

  • Infringes or appears to infringe any third-party copyright, trademark, or other intellectual property or proprietary right.
  • Contains or promotes content that is obscene, pornographic, excessively violent, hateful, discriminatory, or otherwise inconsistent with our brand values.
  • Suggests endorsement, sponsorship, approval, or affiliation with any third party (including brands, schools, teams, celebrities, or public figures) without appropriate authorization.
  • Violates any applicable federal, state (including Michigan), or local law or regulation.

We may require written proof of your rights (for example, a license, permission letter, or other authorization) before processing or shipping your order. If you cannot provide satisfactory proof, we may cancel all or part of your order and, where appropriate, issue a refund for unproduced items.

Intellectual Property Complaints

If you believe that any product image, sample, or other material available through our online storefront infringes your copyright, trademark, or other intellectual property right, you may submit a written notice of claimed infringement. Your notice should include:

  1. Your physical or electronic signature.
  2. Identification of the copyrighted work, trademark, or other intellectual property you claim has been infringed.
  3. Identification of the allegedly infringing material, with sufficient detail for us to locate it (for example, URL, order number, or product description).
  4. Your contact information, including name, mailing address, telephone number, and email address.
  5. A statement that you have a good-faith belief that the disputed use is not authorized by the rights owner, its agent, or the law.
  6. A statement that the information in your notice is accurate and, under penalty of perjury, that you are the owner of the intellectual property right or authorized to act on the owner’s behalf.

Online Account Responsibilities

If you create an online account on our website, you are responsible for:

  • Maintaining the confidentiality of your login credentials.
  • Restricting access to your account and devices used to place orders.
  • All activity that occurs under your account, including submission of User Content and placement of orders.

Notify us promptly if you suspect any unauthorized use of your account.

Indemnification

You agree to indemnify, defend, and hold harmless Helmsman Stitch Company, its owners, employees, and agents from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Any allegation that the User Content you provide (or that is submitted through your account) infringes, misappropriates, or violates any intellectual property, privacy, or other right of any third party.
  • Your violation of this Agreement or of any applicable law in connection with your use of the website or online storefront.

Governing Law and Venue

This Agreement, and any dispute arising out of or relating to your use of the website or Services, will be governed by and construed in accordance with the laws of the State of Michigan and applicable federal law, without regard to conflict-of-law principles.

You agree that any legal action or proceeding arising out of or relating to this Agreement or your use of the Services will be brought exclusively in the state or federal courts located in the State of Michigan, and you consent to the personal jurisdiction of such courts.

Changes to This Agreement

Helmsman Stitch Company may update or modify this Agreement from time to time. Any changes will be effective when posted on our website. Your continued use of the website or online storefront after any such change constitutes your acceptance of the revised Agreement.
